Effective Date: The date these Terms are electronically accepted by the Client.
These Terms of Service (“Terms”) govern all services provided by Bizfront Inc. (“Bizfront,” “we,” “us,” or “our”) to business clients (“Client,” “you,” or “your”).
These Terms apply to all proposals, quotes, statements of work, campaign authorizations, change orders, invoices, and services provided by Bizfront unless different terms are expressly agreed to in writing.
By electronically accepting these Terms, the person accepting them confirms that they are authorized to bind the Client.
1. SERVICES, SCOPE AND APPROVAL
Bizfront provides marketing, advertising, consulting, strategy, SEO, search and AI visibility, social media, content, website, design, research, analytics, and related services.
Specific services, deliverables, fees, budgets, timelines, markets, and other terms may be set out in a proposal, quote, statement of work, campaign authorization, email, or other written communication.
Bizfront only performs work that has been requested or approved by the Client.
Bizfront provides advice, recommendations, research, strategy, creative input, and implementation. Bizfront does not make independent business or operational decisions on the Client’s behalf.
Where the Client approves an overall strategy, tactic, campaign, content program, or direction, Bizfront may use its professional and creative judgment to implement that approval without obtaining separate approval for every individual piece of content, optimization, adjustment, or implementation step within the approved scope.
Any new service, material scope change, or work outside the approved scope requires Client approval.
Any third-party spend that will be charged to the Client requires Client approval before it is incurred.
2. AUTHORIZED APPROVER
The Client designates the person identified in the acceptance form as its Authorized Approver.
A person with authority to make decisions for the Client may delegate approval authority to another person by written notice to Bizfront identifying that person by name, title, and email address.
Bizfront may rely on approvals and instructions from:
-
the Authorized Approver;
-
any person whose approval authority has been delegated to Bizfront in writing; or
-
the person who accepted these Terms on behalf of the Client,
until Bizfront receives written notice changing or withdrawing that authority.
The Client is responsible for its internal communications, approval processes, and delegation of authority.
An approval given by an authorized person is deemed to be an approval by the Client.
3. FEES, HOURLY WORK AND PAYMENT
The Client will pay Bizfront according to the applicable proposal, quote, invoice, payment plan, or agreement.
Unless otherwise agreed in writing, invoices are due upon receipt.
Overdue amounts bear interest at 2% per month, compounded monthly (26.82% per annum), from 30 days past the invoice date until paid, to the maximum extent permitted by law.
Unless otherwise stated, fees are exclusive of applicable taxes.
Hourly and À La Carte Work
Additional work, revisions, consultations, research, technical work, support, design, content, or other work that the client requested and approved without a fixed fee is billed at $170 per hour in 15-minute increments.
Bizfront tracks time internally and reports the time billed on each invoice. Bizfront maintains its time records in good faith and uses them as the basis for invoicing.
Bizfront does not provide screen recordings, timestamped activity logs, or minute-by-minute breakdowns unless otherwise agreed in writing.
4. REPORTS, APPROVALS AND DEEMED ACCEPTANCE
Bizfront may provide reports, dashboards, videos, launch notices, emails, meeting notes, recommendations, invoices, or other communications describing services, campaign activity, advertising spend, completed work, or performance.
Recurring reports and advertising launch notices will be sent to the Authorized Approver.
The Client must notify Bizfront in writing of any specific objection to a report or launch notice within 10 calendar days after it is sent to the Authorized Approver.
If no written objection is received within that period, the matters reasonably disclosed in the report or launch notice are deemed accepted by the Client.
Deemed acceptance does not itself authorize new or increased advertising spend where separate approval is required under Section 6.
The Client remains responsible for promptly notifying Bizfront if it experiences poor-quality leads, no leads, material changes in lead quality, or sudden performance changes outside normal fluctuations.
5. RECURRING SERVICES, PAUSE AND TERMINATION
Unless otherwise agreed in writing, recurring services continue month-to-month and may be terminated by either party on 30 days’ written notice.
A pause or cancellation of one service does not automatically pause or terminate other services.
All work completed up to the effective date of any cancellation, pause, or interruption is billable and payable.
For recurring services, applicable fees remain payable during the notice period unless otherwise agreed in writing.
Where advertising is paused during a billing period, the applicable advertising management fee may be prorated based on when the advertising was active and the management and optimization work performed up to the pause date.
Pausing advertising does not eliminate fees for work already performed.
6. PAID ADVERTISING AND AD SPEND
This section applies to Google Ads, Meta Ads, Microsoft Ads, LinkedIn Ads, and other paid advertising or media services.
6.1 Client Responsibility for Ad Spend
All approved advertising and media spend is the Client’s responsibility.
Advertising spend, media spend, platform charges, taxes, foreign exchange, and other third-party charges are separate from Bizfront’s management fees unless expressly stated otherwise.
Where a platform bills the Client directly, the Client is solely responsible for those charges.
Bizfront does not reimburse, refund, insure, or assume responsibility for advertising or media spend or platform charges.
To the maximum extent permitted by law, Bizfront will not be required to repay, reimburse, credit, or otherwise compensate the Client for advertising or media spend or amounts charged by advertising platforms.
The limitations in this Section 6.1 apply regardless of any dispute about whether a campaign or budget was approved.
6.2 Campaign Authorization and Budgets
A Campaign Authorization is a written document, email, or electronic form approved by the Authorized Approver that identifies the applicable campaigns, markets, advertising budgets, and management fees.
Bizfront will launch campaigns and set or change advertising budgets based on the current Campaign Authorization.
Once a Campaign Authorization is approved, Bizfront may manage and optimize campaigns within the approved scope and budget without further approval.
Unless otherwise stated, budgets are monthly targets. Actual spending may vary because of platform billing practices, daily budget averaging, taxes, foreign exchange, auction conditions, timing, platform adjustments, or other factors outside Bizfront’s control. Campaigns may under-spend.
Bizfront will use reasonable efforts to keep spending reasonably aligned with the approved monthly budget and will not knowingly or intentionally materially exceed an approved budget without further Client approval.
7. ADVERTISING MANAGEMENT AND PAUSING
Advertising optimization is an ongoing process and does not involve a fixed number of changes.
Campaigns may require substantial optimization early in their life, including dozens or hundreds of adjustments, while later periods may require relatively few or no changes while Bizfront evaluates how previous optimizations are performing.
Bizfront may make optimization changes in batches and may allow campaigns time to operate so that the effect of previous changes can be evaluated before additional changes are made.
The amount or number of changes in a particular month is not a measure of the services provided.
The Client must promptly tell Bizfront if it is receiving poor leads, no leads, or material changes in performance.
The Client may request that advertising be paused.
Bizfront will use commercially reasonable efforts to action pause requests received during normal business hours as soon as reasonably practicable. Requests received outside normal business hours will generally be actioned during the next business day.
Platform processing delays may cause advertising to continue briefly after a pause request, and Bizfront is not responsible for resulting charges where the delay is outside its reasonable control.
8. SOCIAL MEDIA, CONTENT, SEO AND OTHER MARKETING SERVICES
These Terms apply to all social media and online platforms, including LinkedIn, Facebook, Instagram, X, TikTok, YouTube, Pinterest, and similar platforms.
Bizfront may access and manage Client accounts, conduct research, create and publish content, send connection requests or messages, support outreach, and otherwise implement Client-approved strategies and tactics.
Bizfront will use account access only for the agreed services and will take reasonable measures to protect account credentials.
Bizfront will not knowingly misrepresent the Client, engage in deceptive or spam practices, or use Client accounts for unrelated purposes.
Individual posts, messages, connection requests, content pieces, or routine interactions do not require individual approval where they fall within an approved strategy, tactic, or content program.
This same approach applies to SEO, search visibility, AI visibility, content creation, email marketing, research, consulting, strategy, design, logo work, graphic design, marketing materials, CRM work, automation, and other services.
Bizfront may use its expertise and creative judgment to develop and implement individual deliverables within the approved strategy and scope.
The Client remains responsible for its business decisions and for the accuracy, legality, ownership, licensing, and regulatory compliance of Client-supplied materials, claims, offers, lists, data, and instructions.
The Client is responsible for ensuring that its materials and instructions comply with applicable privacy, advertising, marketing, anti-spam, intellectual property, and consumer protection laws.
9. WEBSITE PROJECTS
This section applies to website design and development projects.
9.1 Payment
Unless an alternate payment schedule is agreed in writing:
-
50% deposit is required to initiate the project;
-
30% is due upon delivery of the home page concept; and
-
the remaining 20% is due within 10 business days of delivery for final review or before launch, transfer, or publishing, whichever comes first.
Payments are tied to project delivery, not Client approval.
Bizfront will not proceed to the next project phase until the applicable payment is received.
9.2 Client Responsibilities and Timeline
The Client must designate a primary point of contact for content, feedback, and approvals.
Required content, images, assets, and access must be provided within 10 business days of project initiation or as otherwise agreed.
Client delays, additional revisions, missing content, or third-party factors may affect the project timeline.
Bizfront will make reasonable efforts to communicate material changes but is not responsible for delays beyond its control.
9.3 Assets and Materials
Bizfront may provide a secure location for uploading logos, images, branding files, and related assets.
Bizfront may use stock visuals licensed by Bizfront.
Stock materials provided under Bizfront’s licence may not be reused outside the project unless the applicable licence permits it.
9.4 Design and Revisions
One home page concept and two rounds of revisions are included.
Once the home page is approved, the design system will be applied site-wide.
The completed site will be provided through Bizfront’s visual feedback platform.
Two rounds of content-only revisions are included after design completion.
Content revisions include text corrections or image swaps. Layout or styling changes, rewriting, restructuring, or substantial expansion of content are additional work.
9.5 Feedback and Inactivity
Website feedback must be provided through Bizfront’s designated visual feedback platform unless otherwise agreed.
Review meetings may be recorded and transcribed for clarity.
If the Client fails to provide required content, feedback, approvals, or other input for more than 10 business days:
These fees are cumulative.
“Inactivity” means the project cannot progress because required Client content, images, approvals, feedback, or other input has not been provided. Continued communication without actionable input does not pause the inactivity period.
New features or work outside the agreed scope will be quoted separately and approved before work begins.
9.6 Hosting, Domains, Third Parties and Security
The Client is responsible for hosting, domains, email, backups, software, plugins, themes, extensions, credentials, and third-party services unless expressly agreed otherwise.
Bizfront may assist with configuration but is not responsible for third-party errors, outages, failures, costs, vulnerabilities, updates, compatibility issues, or changes.
After launch, the Client is responsible for ongoing website maintenance, updates, backups, and security unless a separate Bizfront maintenance service has been purchased.
Bizfront is not responsible for hacking, attempted hacking, malware, ransomware, viruses, malicious code, unauthorized access, brute-force attacks, denial-of-service attacks, compromised credentials, vulnerabilities, data breaches, data loss, website defacement, or other security incidents arising after launch or from third-party systems, WordPress, plugins, themes, hosting, software, or credentials.
Bizfront does not guarantee that a website will remain secure, available, compatible, or free from vulnerabilities or attacks.
9.7 Ownership and Completion
Upon full payment, Bizfront grants the Client ownership rights to the final website deliverables, including the final layout, visuals, and code.
Bizfront retains ownership of its pre-existing methodologies, processes, templates, systems, tools, research methods, know-how, and reusable materials.
The project is complete when final revisions are delivered or 10 business days after the website is submitted for final review, whichever occurs first.
Bizfront remains available for launch coordination, handoff, or launch support for up to 10 business days after completion.
If the Client is unresponsive or does not schedule launch within that period, the project will be closed.
Support requested after project closure is a new paid engagement or is billed at the applicable hourly rate.
9.8 Website Warranty
Bizfront provides a limited 60-day warranty following website launch.
The warranty covers defects in Bizfront’s original work that were present at launch, including layout or functional defects, broken links, forms, and non-functioning features caused by Bizfront’s code.
The warranty does not cover:
-
WordPress, CMS, plugin, theme, extension, or software updates;
-
security updates or vulnerabilities discovered after launch;
-
compatibility issues;
-
hosting or third-party services;
-
Client or third-party changes;
-
hacking, malware, cyberattacks, or unauthorized access;
-
compromised credentials;
-
new features or enhancements; or
-
issues that are not defects in Bizfront’s original work.
The warranty requires correction or re-performance of covered defects and does not create a right to a refund.
Project payments are non-refundable.
If the Client cancels, pauses, or interrupts a website project after work has begun, all work completed through that date remains payable.
If full administrative access or file transfer is requested, Bizfront may require completion of a Website Release Form.
9.9 Bizfront SiteCare+
After the final launch, the website is self-managed unless the Client purchases a separate maintenance service.
Bizfront SiteCare+ plan is available only for websites designed and built by Bizfront.
SiteCare+ is $250 per month plus GST, subject to availability, plus a one-time $400 setup fee.
SiteCare+ includes:
-
Website security and monitoring tools installed and configured;
-
monthly CMS, theme and plugin updates;
-
off-site backups before each update;
-
uptime and SSL monitoring;
-
correction of issues caused by an update performed by Bizfront, or restoration from the most recent backup, at Bizfront’s discretion;
-
up to one hour per month of Client-reported fixes; and
-
a monthly maintenance report.
Client-reported fixes are limited to restoring features that previously worked. Time beyond the monthly allowance is billed at $170 per hour in 15-minute increments.
The $400 setup fee covers the initial site review, security and backup setup, and administrative-account review.
Repairs, plugin replacements, malware cleanup, security remediation, or other corrective work identified during setup are quoted separately.
SiteCare+ does not cover:
-
third-party licensing or major changes, but Bizfront may restore previously functioning features within the included fix allowance;
-
hosting or third-party service failures;
-
premium plugin, theme, software, or licence renewal costs;
-
replacement of abandoned or discontinued plugins;
-
major repairs;
-
major development;
-
redesigns;
-
new functionality; or
-
hack recovery or other work outside the stated scope.
The SiteCare+ does not guarantee that the website will never be hacked, compromised, unavailable, or affected by a security vulnerability or third-party failure.
SiteCare+ work is performed during normal business hours and does not provide an emergency response time or guarantee.
Unused monthly support time does not accumulate or roll over.
If no SiteCare+ is purchased, the website is self-managed. Requested support is billed at $170 per hour in 15-minute increments with a one-hour minimum, subject to scheduling availability.
10. ACCOUNTS, ACCESS AND PROPRIETARY METHODS
The Client may provide Bizfront with access to accounts, platforms, websites, software, advertising systems, social media accounts, analytics systems, or other services necessary to provide the agreed services.
Bizfront will use such access only for the agreed services and will take reasonable measures to protect account credentials and access.
The Client remains responsible for maintaining its own account credentials, payment methods, subscriptions, licences, and other account requirements unless otherwise agreed.
Bizfront will reasonably cooperate with the Client regarding account access and administrative permissions when services end, subject to applicable platform requirements and the Client having paid all amounts owing.
Bizfront retains ownership of its pre-existing and proprietary strategies, tactics, campaign structures, optimization methods, processes, methodologies, research methods, systems, templates, tools, and know-how.
Use of Bizfront’s proprietary methods or systems in providing services does not transfer ownership of those methods or systems to the Client.
11. CONFIDENTIALITY AND DATA
Each party will use reasonable measures to protect confidential information received from the other and will use it only for purposes related to the business relationship.
Bizfront may provide Client information to employees, contractors, and service providers who reasonably require it to perform the services and who are subject to appropriate confidentiality obligations.
Bizfront will handle Client personal and business information in accordance with applicable law and use it only as reasonably necessary to provide the services.
Upon termination, Bizfront will return or securely delete Client data upon reasonable request where practical and where Bizfront is not required to retain it.
Confidentiality obligations survive termination.
12. RESULTS AND THIRD-PARTY PLATFORMS
Bizfront does not guarantee rankings, search visibility, AI visibility, leads, enquiries, conversions, revenue, sales, traffic, engagement, followers, connections, profitability, return on advertising spend, or other commercial results.
Forecasts, projections, lead values, estimated returns, market opportunities, benchmarks, recommendations, and similar information are estimates or opinions only and are not warranties.
Advertising platforms, social media platforms, search engines, hosting providers, WordPress, software providers, email platforms, and other third parties control their own systems, algorithms, policies, billing, delivery, restrictions, suspensions, outages, and functionality.
Bizfront is not responsible for third-party decisions, outages, errors, restrictions, suspensions, algorithm changes, policy changes, billing decisions, security incidents, or other matters outside Bizfront’s reasonable control.
The Client remains responsible for its own business decisions and for reviewing information provided by Bizfront.
13. LIMITATION OF LIABILITY AND INDEMNITY
13.1 Liability Cap
To the maximum extent permitted by law, Bizfront’s total aggregate liability arising from or relating to recurring services will not exceed the lesser of (a) one (1) month of the recurring management or service fees for the service giving rise to the claim, or (b) $1,500.
Bizfront does not refund, reimburse, or compensate the Client for advertising spend, media spend, platform charges, hosting charges, or other third-party charges. These amounts are the Client’s responsibility and are not Bizfront fees.
For project services, project payments are non-refundable. For a covered project or website defect, the Client’s remedy is limited to correction or re-performance of the affected work under the applicable warranty.
13.2 Excluded Losses
To the maximum extent permitted by law, Bizfront is not liable for:
-
advertising or media spend;
-
platform, hosting, software, or other third-party charges;
-
hacking, malware, cyberattacks, unauthorized access, security incidents, or vulnerabilities;
-
lost revenue, profits, sales, customers, contracts, opportunities, savings, goodwill, or business;
-
business interruption;
-
loss or corruption of data;
-
replacement or substitute services;
-
indirect, incidental, special, exemplary, punitive, or consequential damages; or
-
losses arising from business decisions based on recommendations, reports, research, projections, content, strategies, designs, or campaign results.
These exclusions apply to the maximum extent permitted by law.
13.3 Bizfront Personnel
To the maximum extent permitted by law, claims relating to Bizfront’s services must be brought against Bizfront Inc., and not personally against its shareholders, directors, officers, employees, contractors, consultants, agents, or representatives acting within the scope of their duties.
Those persons are intended to have the benefit of this provision.
13.4 Goodwill
Bizfront may, at its discretion, provide complimentary work, credits, fee waivers, or other goodwill accommodations.
Any such accommodation is voluntary, is not an admission of liability or fault, and does not create a precedent or entitlement.
Bizfront may, at its discretion, waive up to one month of recurring management or service fees as a goodwill accommodation.
13.5 Client Indemnity
The Client will indemnify and hold harmless Bizfront and its directors, officers, employees, contractors, and representatives from third-party claims arising from:
-
Client-supplied materials, information, products, services, claims, or instructions;
-
the Client’s breach of applicable law;
-
infringement arising from Client-supplied materials;
-
the Client’s misuse of deliverables; or
-
inaccurate, misleading, unauthorized, or unlawful instructions originating from the Client or its representatives.
14. GENERAL TERMS AND ELECTRONIC ACCEPTANCE
14.1 Governing Law
These Terms are governed by the laws of the Province of Alberta, Canada, and the federal laws of Canada applicable in Alberta.
14.2 Electronic Records
Electronic signatures, digital forms, emails, written messages, recorded meetings, electronic approvals, and electronic feedback systems may be relied upon as evidence of agreements, instructions, approvals, changes, and acceptance.
14.3 Entire Agreement
These Terms, together with the applicable proposal, quote, statement of work, Campaign Authorization, change order, or other written agreement, form the agreement between Bizfront and the Client concerning the applicable services.
If another written agreement expressly states that it overrides a provision of these Terms, that agreement controls to the extent of the conflict.
14.4 Severability
If any provision is found invalid or unenforceable, the remaining provisions continue in effect.
14.5 No Waiver
A failure or delay by Bizfront in enforcing a right does not waive that right.
Any waiver must be expressly made in writing.
14.6 Assignment
The Client may not assign its rights or obligations under these Terms without Bizfront’s prior written consent.
Bizfront may assign its rights or obligations in connection with a corporate reorganization, sale of business, sale of assets, merger, or similar transaction.
14.7 Force Majeure
Bizfront is not liable for delay or failure caused by circumstances beyond its reasonable control, including platform outages, cyber incidents, labour disruptions, natural disasters, government actions, supplier failures, internet failures, or telecommunications failures.
14.8 Updates to Terms
Bizfront may update these Terms from time to time. Updated Terms apply to future services once accepted by the Client.
14.9 Electronic Acceptance
By submitting this form, the person accepting these Terms confirms that they have authority to bind the Client and that electronic acceptance is intended to have the same effect as a written signature.
